Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by LargeParty Inc. ("LargeParty," "we," "our," or "us"), including our AI-powered event inquiry, booking, voice, and messaging services (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

LargeParty provides a technology platform that facilitates event inquiries, communications, and related interactions between individuals seeking to host events ("Users") and independent venues ("Venues"). The Service may include automated chat, voice, or messaging tools, as well as tools to collect information, facilitate communication, and, where enabled, support payment-related features such as deposits.

LargeParty does not own, operate, or control Venues and does not host or fulfill events.

2. Platform Role

LargeParty acts solely as a technology platform. Except where expressly stated otherwise:

• LargeParty is not a party to any agreement between Users and Venues.
• Pricing, availability, event terms, policies, and fulfillment are determined by the Venue.
• Venues are solely responsible for hosting and delivering events.
• Venues operate independently and are responsible for complying with applicable laws, policies, and regulations.

Any agreement regarding an event is entered into directly between the User and the Venue.

3. AI-Generated Interactions

Some interactions with the Service are handled by automated systems, including AI-powered chat, voice, or messaging tools. These systems may generate responses, ask clarifying questions, collect information, and share relevant details with Venues at the direction of the User.

AI-generated responses are intended to assist with event inquiries and communications but may not always be complete, accurate, or current. Users should independently confirm important details, including availability, pricing, and policies, directly with the Venue.

4. Deposits & Payments

Certain Venues may require a deposit or other payment in connection with an event. When enabled, LargeParty may facilitate the collection and transfer of deposits on behalf of Venues.

• Deposit amounts, refund policies, and cancellation terms are determined by the Venue.
• LargeParty does not set event pricing or guarantee refunds unless expressly stated.
• Any disputes regarding events, cancellations, or refunds are between the User and the Venue.

LargeParty's facilitation of payment features does not change the underlying contractual relationship between Users and Venues.

5. User Responsibilities

By using the Service, you agree to:

• Provide accurate, current, and complete information
• Use the Service only for lawful purposes
• Not misuse, interfere with, or disrupt the Service
• Not attempt to reverse engineer, abuse, or manipulate automated systems

You are responsible for all activity conducted through your use of the Service.

6. Indemnification

You agree to indemnify, defend, and hold harmless LargeParty, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your breach of these Terms
• Your violation of any law or regulation
• Any dispute between you and a Venue

7. No Guarantees or Warranties

The Service is provided on an "as-is" and "as-available" basis.

LargeParty does not guarantee:

• Venue availability
• Pricing accuracy
• Response times
• Event confirmations
• Successful bookings
• Continuous or uninterrupted access to the Service

Information provided through the Service, including AI-generated responses, is for informational purposes only and does not constitute a confirmation or guarantee unless explicitly confirmed by the Venue.

8. Dispute Resolution & Time Limits

Any claim arising out of or relating to the Service or these Terms must be brought within one (1) year after the cause of action arises. After this period, such claims are permanently barred.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

9. Limitation of Liability

To the maximum extent permitted by law:

• LargeParty shall not be liable for any indirect, incidental, consequential, special, or punitive damages.
• LargeParty's total liability arising out of or related to the Service shall not exceed the amount, if any, paid by you to LargeParty in the twelve (12) months preceding the claim.

LargeParty is not responsible for the acts, omissions, or conduct of Venues or Users.

10. Suspension & Termination

LargeParty may suspend or terminate access to the Service at any time if we believe you have violated these Terms, misused the Service, or created legal or operational risk.

Termination does not affect agreements entered into directly between Users and Venues.

11. Intellectual Property

All content, software, and technology used to provide the Service are owned by or licensed to LargeParty and are protected by applicable intellectual property laws.

You may not copy, modify, distribute, or create derivative works of the Service without our prior written consent.

12. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and share information. By using the Service, you consent to those practices.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.

14. Changes to These Terms

We may update these Terms from time to time. Any changes become effective upon posting the revised Terms. Continued use of the Service after changes constitutes acceptance.
